01Interpretation and Definitions

Interpretation

The words whose initial letters are capitalized have meanings defined under the following conditions. These definitions shall have the same meaning whether they appear in singular or plural.

Definitions

Application
means the Aimedis software application provided by the Company and available on supported devices.
Company
refers to Aimedis LLC, a limited liability company.
Platform
refers to the digital healthcare platform operated by Aimedis including the website, applications, APIs, telehealth systems, VR/AR environments, and related services.
Account
means a unique account created for a user to access the Platform or certain Platform services.
User / You
means the individual, company, healthcare professional, or other legal entity accessing or using the Platform.
Service
refers to the Aimedis Platform and all associated services, tools, software systems, and digital environments.
Device
means any device capable of accessing the Platform including computers, smartphones, tablets, or VR/AR devices.
Subscription
means a recurring payment plan granting access to certain services or features of the Platform.
Content
refers to any text, data, images, video, medical information, or other material uploaded, shared, or made available through the Platform.
Website
refers to Aimedis, accessible at https://www.aimedis.com
Country
refers to the United States unless otherwise specified.

02Acknowledgement

These Terms and Conditions constitute a legally binding agreement between You and Aimedis LLC governing your use of the Platform.

By accessing or using the Platform you agree to be bound by these Terms.

If you disagree with any part of these Terms you must not use the Platform.

You represent that you are at least 18 years of age. The Company does not permit individuals under 18 to use the Platform.

Your use of the Platform is also governed by our Privacy Policy, which describes how personal data is collected, used, and protected.

03Description of the Aimedis Platform

Aimedis provides a digital healthcare platform that may include:

  • patient portals
  • telehealth and remote consultation tools
  • healthcare data infrastructure and APIs
  • interoperability services connecting healthcare systems
  • VR/AR medical education environments
  • healthcare communication and collaboration tools

The Platform is designed to facilitate healthcare services, education, and digital health infrastructure while maintaining high standards of security, privacy, and compliance.

04Medical Disclaimer

The Aimedis Platform provides digital healthcare tools, communication systems, and educational environments.

The Platform does not replace professional medical advice, diagnosis, or treatment.

Any information provided through the Platform should not be interpreted as medical advice unless explicitly provided by a licensed healthcare professional through the Platform.

Always consult a qualified healthcare professional regarding medical conditions or treatments.

05Accounts

When you create an account on the Platform, you must provide accurate and complete information.

You are responsible for safeguarding your login credentials and for all activities that occur under your account.

The Company reserves the right to suspend or terminate accounts that violate these Terms or applicable laws.

06Payments and Subscriptions

Certain services offered by Aimedis may require payment.

Payments may be processed through third-party payment providers including credit card processors or other approved payment systems.

By submitting payment information you represent that you are authorized to use the selected payment method.

Unless required by law, payments for digital services, subscriptions, and platform access are non-refundable once the service has been activated or delivered.

Important Notice

07Aimedis Utility Asset (AIMX)

AIMX is an internal digital service asset used within the Aimedis platform to access certain platform services.

AIMX is not a security, and not a financial instrument.

AIMX cannot be traded, listed, exchanged, or transferred on public or private exchanges or digital asset marketplaces inside the European Union, the United States of America and China.

AIMX may only be used within the Aimedis platform for accessing services, digital tools, subscriptions, or other platform-based utilities.

For service usage purposes, Aimedis currently recognizes an internal reference value of 1 AIMX = 0.03 USD. This reference value is used only for internal service accounting and does not represent a market price or investment value.

To ensure fair platform usage, monthly usage limits may apply to the amount of AIMX that can be redeemed for services. These limits may vary depending on the user's subscription plan, account type, or service usage.

Ownership or possession of AIMX does not grant any ownership rights, equity participation, voting rights, governance rights, or profit participation in Aimedis LLC.

AIMX functions solely as a platform service credit.

08Platform Ownership and Intellectual Property

All components of the Aimedis Platform including software, systems, designs, interfaces, content, code, graphics, documentation, and technologies (collectively referred to as Platform Materials) are owned by Aimedis LLC or its licensors.

The Platform Materials are protected by intellectual property laws including copyright, trademark, trade secret, and patent laws.

Your use of the Platform grants you a limited, non-exclusive, non-transferable license to access and use the services in accordance with these Terms.

You may not:

  • copy or reproduce the Platform
  • reverse engineer the software
  • modify or distribute Platform Materials
  • use the Platform to build competing services

without prior written permission from Aimedis.

09Acceptable Use and Prohibited Activities

You agree not to use the Platform in any way that:

  • violates any applicable laws or regulations
  • infringes intellectual property rights
  • distributes malicious software or harmful code
  • interferes with the operation of the Platform
  • attempts unauthorized access to systems or data
  • distributes fraudulent or misleading information
  • promotes illegal activities

Users must not provide medical advice unless they are licensed healthcare professionals legally authorized to do so.

The spread of false medical or scientific information through the Platform is strictly prohibited.

10Third-Party Services

The Platform may integrate or link to third-party services including payment providers, communication tools, or healthcare systems.

Aimedis is not responsible for the content, policies, or actions of third-party services.

11Limitation of Liability

To the maximum extent permitted by law, Aimedis LLC shall not be liable for indirect, incidental, consequential, or special damages arising from the use of the Platform.

The Platform is provided "as is" and "as available" without warranties of any kind unless otherwise required by law.

12Termination

The Company may suspend or terminate access to the Platform if a user violates these Terms or engages in unlawful activities.

Upon termination, the user's right to use the Platform will immediately cease.

13Changes to Terms

The Company reserves the right to update or modify these Terms at any time.

Updated Terms will be posted on the Website and become effective upon publication.

Users are responsible for reviewing the Terms periodically.

14Governing Law

These Terms shall be governed and interpreted in accordance with the laws of the United States, without regard to conflict of law provisions.
